1. Agreement
These Terms of Service (“Terms”) govern your use of Recurring Invoices, including our website, web application, API and MCP server (the “Service”), operated by MagisSolutions, Inc., D1 Unit GS4-02V, 2F Gems Plaza Bldg., Circumferential Road, Dalig, City of Antipolo, Rizal, Philippines (“we”, “us”). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of a business, you confirm you are authorised to bind that business, and “you” means that business.
2. The Service
Recurring Invoices lets you create and send invoices, schedule recurring invoices that are generated (and optionally emailed) automatically, give your clients a portal to view invoices and upload proof of payment, record and confirm payments, and manage your data from AI assistants through our MCP server. The free invoice builder on our homepage can be used without an account.
The Service is a tool for preparing and sending invoices. It is not accounting, tax or legal advice, and it does not process card or bank payments. You are responsible for the accuracy of your invoices, including tax rates, amounts and legal invoice requirements in your jurisdiction.
3. Accounts and teams
- You must provide accurate information, keep your password and any API or AI-connector tokens confidential, and tell us promptly at [email protected] if you suspect unauthorised access.
- You are responsible for all activity under your account and your teams, including actions taken by team members and by AI assistants you connect.
- Team owners control who belongs to a team and may remove members at any time.
- You must be at least 16 years old and able to form a binding contract.
4. Your data
You keep all rights to the data you put into the Service (“Your Data”), such as clients, invoices and payments. You give us permission to host, copy, process and transmit Your Data only as needed to provide, secure and support the Service, as described in our Privacy Policy. You confirm that you have the right to give us Your Data, including your clients' personal data, and that sending invoices and emails to your clients through the Service is lawful.
5. Emails sent on your behalf
When you send an invoice or turn on auto-send for a recurring invoice, we email your client on your behalf, from our servers or from the mail server you configure. You are responsible for the content of those emails and for having a legitimate reason to send them. You must not use the Service to send spam or unsolicited messages.
6. AI connectors
You may connect AI assistants such as Claude or ChatGPT to a team through our MCP server (see How to connect Claude and ChatGPT). When you do:
- The assistant acts on your instructions with access to the one team you authorised, and can create, change and delete clients, invoices, recurring invoices and payments in that team.
- AI assistants can make mistakes. You are responsible for reviewing what the assistant does, including invoices it creates or sends and changes it makes, and for any instructions you give it.
- Your use of the assistant itself is governed by the AI provider's terms (Anthropic or OpenAI), not ours, and data the assistant retrieves is sent to that provider.
- You can revoke access at any time in Team settings → AI agents, or from the assistant's connector settings.
7. Acceptable use
You agree not to:
- use the Service for fraudulent invoices, phishing, money laundering or any unlawful purpose;
- upload malware or content that infringes others' rights;
- attempt to access other customers' data, probe or bypass our security, or exceed rate limits;
- resell or sublicense the Service without our written permission;
- use custom domains you do not control, or impersonate another business.
8. Plans, fees and changes
The Service is currently free. Any paid plans we introduce will be governed by the pricing and terms shown when you sign up for them.
We may change or discontinue features at any time.
9. Availability and support
We do not guarantee uninterrupted or error-free operation. Scheduled recurring invoices may be delayed or missed during outages. You can contact us at [email protected].
10. Termination
You may stop using the Service and delete your account or teams at any time from the settings pages. We may suspend or terminate your access if you breach these Terms or if required by law. After termination we will delete Your Data in line with our Privacy Policy, except where we must keep it by law. You can export your invoices (for example as PDF) before closing your account.
11. Intellectual property
The Service, including its software, design and branding, belongs to us and our licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the Service while your account is active.
12. Disclaimers
To the extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, including merchantability, fitness for a particular purpose and non-infringement.
13. Limitation of liability
To the extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim or US$100. Nothing in these Terms limits liability that cannot be limited by law.
14. Indemnity
You will defend and indemnify us against third-party claims arising from Your Data, the invoices and emails you send through the Service, or your breach of these Terms.
15. Governing law
These Terms are governed by the laws of the Republic of the Philippines, and disputes will be resolved in the proper courts of the City of Antipolo, Rizal, unless mandatory consumer law says otherwise.
16. Changes to these Terms
We may update these Terms. We will post the new version here with a new “Last updated” date and notify account holders of material changes by email or in the Service before they take effect. Continuing to use the Service after that means you accept them.
17. Data processing
This section applies where data protection laws such as the Philippine Data Privacy Act of 2012, the GDPR or the UK GDPR apply to personal data in Your Data, including your clients' details. For that data you are the controller and we are your processor, and this section forms the data processing agreement between us. We will:
- process it only to provide the Service and on your documented instructions, which are these Terms and the way you use the Service, unless the law requires otherwise — in which case we will tell you first, unless the law forbids that;
- make sure anyone we authorise to process it is bound by confidentiality;
- protect it with appropriate technical and organisational measures, including those described in the Security section of our Privacy Policy;
- use only sub-processors bound by data protection terms at least as protective as these. You authorise the providers listed in our Privacy Policy, and we will let you know before adding or replacing a sub-processor so you can object; if we cannot resolve your objection, you may stop using the Service;
- help you respond to requests from people exercising their data protection rights, and with security, breach notification, data protection impact assessments and consultations with regulators, taking into account the information available to us;
- notify you without undue delay after becoming aware of a personal data breach affecting it;
- delete it when you delete it from the Service or close your account, except where the law requires us to keep it; copies in archives and backups are deleted within 365 days;
- make available the information needed to show we meet these obligations, and allow for and contribute to reasonable audits, including inspections, by you or an auditor you appoint; and
- where it is transferred out of the EEA, UK or Switzerland to a country without an adequacy decision, rely on the European Commission's Standard Contractual Clauses (and the UK Addendum where relevant), which are incorporated into these Terms by reference.
The data concerns your clients, their contacts and other people named in your invoices, and includes names, email addresses, postal addresses, invoice and payment details, proof-of-payment files and records of when invoices are viewed. It is processed for as long as you use the Service.
